NOTICE OF A SPECIAL GENERAL MEETING (SGM) OF
THE ASSOCIATION OF UKRAINIANS IN VICTORIA (AUV) 2023

Notice is hereby given that a Special General Meeting of the Association of Ukrainians in Victoria will be held at:

Ukrainian Community Centre, 3-11 Russell St Essendon
on Saturday, 13th May
at 10:00am (AEDT)

PLEASE NOTE: This Special General Meeting is in relation to voting on the selling of the two named AUV assets ONLY – not in relation to the selling of any/all AUV assets.

Registration will commence at 09:30am and the Meeting will start at 10:00am.

The Special General Meeting is being held to seek the approval of members to pass two (2) Special Resolutions of the AUV Board to sell two apartments which are assets of AUV.

Item 73.6 of the AUV Constitution states:

AUV real estate other than Branch real estate shall not be sold, transferred, demolished, redeveloped or disposed of unless the AUV Board resolves to do so by a special resolution of Board members at an AUV Board Meeting. The Board shall then convene an AUV General Meeting at which a resolution to approve the decision shall be proposed. If the resolution is passed by special resolution, the resolution shall be approved.

PROXY VOTING

Members have the right to appoint proxies and that if a member appoints a proxy:
Item 22.3 AUV Constitution: V. They may only appoint either the chairperson of the meeting, or a member of AUV to act as a proxy, VI. The proxy form must be delivered to AUV at its registered office or the address (including an electronic address) specified in the notice of the meeting and VII. The proxy form must be delivered to the registered address at least 48 hours before the meeting. VIII. All proxies submitted by members, must be opened, witnessed, and counted at the appointed times before the general meeting by at least two members of the Committee of Internal Auditors of AUV.

Completed Proxy Forms must be submitted by Monday 8th May 2023 to the AUV Operations Manager (Irene Stawiski) at 3-11 Russell St, Essendon VIC 3040 OR by email to operations@auv.org.au

FINANCIAL MEMBERSHIP

Please note, all membership fees must be paid by Monday 8^th May 2023 to hold voting rights at this Special General Meeting. Affiliate members do not hold voting rights but are welcome to attend.
